Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website located at www.dziconsulting.com (the "Site") and the SEO, Google Ads, marketing automation, and related digital marketing services (collectively, the "Services") provided by Dzi Consulting ("Dzi Consulting," "we," "us," or "our").

By accessing the Site or engaging our Services, you agree to be bound by these Terms. If you do not agree, please do not use the Site or our Services.

1. Eligibility

You must be at least 18 years old and have the legal authority to enter into a binding agreement on behalf of yourself or the dealership or organization you represent in order to use our Services.

2. Services

Dzi Consulting provides digital marketing services tailored to commercial truck and equipment dealers, including but not limited to search engine optimization, paid advertising management, marketing automation, analytics, and consulting. The specific scope, deliverables, fees, and timelines for each engagement will be defined in a separate written proposal, statement of work, or service agreement ("Service Agreement"). In the event of a conflict between these Terms and a signed Service Agreement, the Service Agreement controls.

3. Client Responsibilities

To enable us to deliver the Services, you agree to:

  • Provide accurate, current, and complete information.
  • Grant timely access to required accounts, platforms, and assets (e.g., Google Ads, Google Business Profile, website CMS, analytics).
  • Review deliverables and provide feedback within reasonable timeframes.
  • Comply with all applicable laws and platform terms (including Google, Meta, and other third-party platforms).
  • Pay invoices in accordance with the Service Agreement.

4. Fees and Payment

Fees for Services are set out in the applicable Service Agreement. Unless otherwise stated, invoices are due within fifteen (15) days of the invoice date. Late payments may incur interest and may result in suspension of Services. Third-party advertising spend (e.g., Google Ads budgets) is your responsibility and is billed directly to you by the platform.

5. Intellectual Property

All content on the Site — including text, graphics, logos, images, and software — is owned by or licensed to Dzi Consulting and is protected by applicable intellectual property laws. Upon full payment, you receive a non-exclusive license to use deliverables produced specifically for you under a Service Agreement for your dealership's marketing purposes. We retain ownership of our pre-existing materials, methodologies, templates, tools, and know-how.

6. Acceptable Use

You agree not to:

  • Use the Site or Services for any unlawful or fraudulent purpose.
  • Copy, modify, distribute, sell, or reverse-engineer any portion of the Site or our proprietary materials without prior written consent.
  • Attempt to gain unauthorized access to our systems, accounts, or data.
  • Upload or transmit malicious code, harmful content, or content that infringes on third-party rights.

7. Third-Party Services

Our Services rely on third-party platforms (such as Google, Meta, hosting providers, and CRM tools). We are not responsible for outages, policy changes, account suspensions, algorithm updates, or other issues caused by those third parties.

8. No Guarantee of Results

While we apply industry best practices and our experience working inside the commercial truck and equipment dealer industry, we cannot and do not guarantee specific rankings, traffic volumes, lead counts, sales, or revenue. Search engine algorithms, ad platform policies, and competitive conditions are outside our control.

9. Confidentiality

Each party agrees to keep the other party's non-public business information confidential and to use it only for the purpose of performing under these Terms or the applicable Service Agreement.

10. Disclaimers

The Site and Services are provided on an "AS IS" and "AS AVAILABLE" basis. To the fullest extent permitted by law, Dzi Consulting disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability

To the fullest extent permitted by law, Dzi Consulting will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to the Site or Services. Our total aggregate liability for any claim arising from these Terms or the Services will not exceed the fees paid by you to Dzi Consulting in the three (3) months preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify and hold harmless Dzi Consulting and its officers, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of your use of the Services, your content, or your breach of these Terms.

13. Termination

Either party may terminate Services as described in the applicable Service Agreement. We may suspend or terminate your access to the Site at any time for any reason, including violation of these Terms. Sections that by their nature should survive termination (including intellectual property, confidentiality, disclaimers, limitations of liability, and governing law) will survive.

14. Governing Law

These Terms are governed by the laws of the State of Missouri, United States, without regard to its conflict of law principles. Any disputes arising under these Terms will be resolved in the state or federal courts located in Jackson County, Missouri, and you consent to the exclusive jurisdiction and venue of those courts.

15. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on this page with a new "Last updated" date. Your continued use of the Site or Services after changes are posted constitutes your acceptance of the revised Terms.
